Welcome to use the products and services provided by QuarkIP (hereinafter referred to as "we"). This Service Agreement (hereinafter referred to as "this Agreement") applies to all products and services provided by QuarkIP through websites, clients, and new forms that may emerge with technological development. The content of this Agreement also includes relevant agreements and business rules that QuarkIP may continuously release regarding this service. Once officially released, such contents will become an integral part of this Agreement, and QuarkIP shall abide by them as well. Please carefully read and fully understand all terms of this Agreement, especially those that exempt or limit liability. Such terms may be highlighted in bold to draw your attention. Unless you read and accept all terms of this Agreement, please do not use this software and related services. Your click of agreement, use, login, etc. shall be deemed as your acceptance of the constraints of this Agreement.

By using QuarkIP software and services, you legally agree that these terms are binding rules ("Terms"). You also agree to our Privacy Policy, Cookie Policy, Payment Verification Policy, and acknowledge that you are responsible for complying with any applicable local laws. Our Privacy Policy, Payment Policy, and other policies form part of this Agreement. We may modify these Terms from time to time. If we do so, we will notify you of any significant changes by posting them on the website or sending you an email. New versions of these Terms will not be retroactively applicable, and we will inform you of the exact effective date of the new version and list it at the beginning of this Agreement. If you continue to use QuarkIP software and services after the changes, it indicates your acceptance of the new Terms. We reserve any and all rights not expressly granted herein, including but not limited to all rights in the system.

Any violation of the terms of this agreement will result in the termination of your account. You agree to use the QuarkIP software and services at your own risk.

If you have signed and accepted an agreement related to this service with us before or after signing this agreement (hereinafter referred to as the "offline agreement") and the offline agreement is still valid, in case of any conflict between the offline agreement and this agreement, the provisions of the offline agreement shall prevail; for any content not covered by the offline agreement, the provisions of this agreement shall apply.

1.Account registration

To register for a QuarkIP account, you must be at least 18 years old. You are responsible for your account and all activities on it. This service account is for your personal use only. You are not allowed to sell this service account or engage in any exchange for benefits, nor can you lend, rent, or resell this service account to others.

If QuarkIP discovers that someone is using or misusing QuarkIP's account and password, or any other situation that is not legally authorized by QuarkIP, it should immediately notify QuarkIP in an effective manner (including but not limited to providing QuarkIP's identity information and relevant identity documents, relevant facts and circumstances, and QuarkIP's requirements, etc.).

You need to register before using QuarkIP. Choose an account name and set a password. Your information will be collected and disclosed in accordance with applicable data protection laws and our privacy policy. All users must provide true and accurate information when registering for our website or service. Do not use invalid or others' email addresses.

We reserve the right to verify all user information and to reject any user. You are responsible for all activities on your account and must keep your password confidential. You agree to immediately notify us of any unauthorized use of your account or any other violation of security. QuarkIP shall not be held responsible for any losses caused by others using your password or account without your knowledge. If someone uses your account without your permission, please report it to support@quarkip.com.

You are not allowed to use QuarkIP and its services for any illegal or unauthorized purposes. When using the product, you must not violate any laws in your jurisdiction (including but not limited to copyright laws) and any other applicable regulations.

You agree that QuarkIP can, during the process of providing services, send advertisements, promotions or promotional information (including commercial and non-commercial information) to you either by itself or through third-party advertisers via SMS, email or electronic information and other means. You also agree that regarding the advertising information appearing in the QuarkIP services, you should carefully judge its authenticity and reliability. Except as explicitly stipulated by law, you shall be responsible for any transactions conducted based on such advertising information.

2.Prohibited Actions

You should abide by the provisions of any applicable laws and regulations. You are not allowed to use QuarkIP's services and accounts to engage in, or facilitate, any of the following activities:

• (1)Endangering national security, divulging state secrets, subverting the state power, disrupting national unity, damaging national honor and interests;
• (2) Promoting cults and feudal superstitions;
• (3) Spreading false information, disrupting social order, and undermining social stability;
• (4) Disseminating obscene, pornographic, gambling, violent, murderous, terrorist, harassing, vulgar or content that incites crime;
• (5) Making insulting or defamatory remarks about others, or infringing upon the legitimate rights and interests of others;
• (6) Infringing upon the legitimate rights of others, such as intellectual property rights and trade secrets;
• (7) Using this software to fabricate facts and conceal the truth in order to mislead or deceive others;
• (8) Engaging in illegal online activities such as gambling and gambling games;
• (9) Delete or modify all the copyright management information on this software;
• (10) Intentionally avoiding or disrupting the technical measures taken by the copyright owner to protect the copyright of this software;
• (11) Violating national regulations, deleting, modifying, adding to, or interfering with the functions of a computer information system, thereby causing the computer information system to fail to operate normally;
• (12) Entering a computer information network without permission or using the resources of a computer information network.
• (13) Without permission, deleting, modifying or adding the functions of the computer information network;
• (14) Without permission, deleting, modifying or adding the data and applications stored, processed or transmitted in the computer information network;
• (15) Intentionally disrupting the normal operation of this software system or website, or deliberately spreading destructive programs such as computer viruses;
• (16) Engaging in any form of resale activities of QuarkIP products or sub-users under the management of the authorized users of Party B;
• (17) Any other act that endangers the security of computer information networks.
• (18) Other acts that violate public order and good morals or are prohibited by laws and regulations.

You hereby undertake that you will not use any type of software or equipment (whether manual or automatic) to "crawl" or "spider" any part of QuarkIP, nor will you disassemble or reverse engineer any content of QuarkIP.

You understand and agree that if you engage in any prohibited actions under this agreement, or use the QuarkIP software and services for any illegal or unauthorized purposes, or commit any other violations of this agreement, QuarkIP has the right to, based on a reasonable judgment, impose penalties on any behavior that violates relevant laws and regulations or the terms of this agreement. It can take appropriate legal actions against any users who violate the law, and retain relevant information in accordance with laws and regulations and report it to relevant authorities. You shall bear all legal responsibilities arising therefrom independently.

You understand and agree that, due to your violation of the terms of this agreement or the relevant service terms, any claims, demands or losses asserted by a third party, you shall bear the sole responsibility; if QuarkIP suffers any losses as a result, you shall also compensate for them. If QuarkIP has already assumed relevant responsibilities through an effective judgment, ruling, etc., QuarkIP has the right to fully recover the amount from you.

3.Charges

Please visit our payment policy page to learn about the prices of all our services and the latest discounts. If you agree to our payment policy and place an order for the related services, you commit to paying the fees for those services. The prices of all services (including but not limited to the monthly subscription plan fees for the services) may change. Price changes will be posted on the official website or product homepage.

You should select the specific items of this service according to your own needs. Once your choice is made, it will be binding on you. This service may include paid and free services. The details will be based on the information released by QuarkIP.

The use of the free service may require certain conditions to be met. The specific conditions are subject to those announced on the official website of this service. For the free service, QuarkIP has the right to unilaterally change the collection time, specific service content, service period and service standards based on the actual situation. You have no objection to this and accept the aforementioned changes. Therefore, QuarkIP does not need to bear any responsibility to you.

We reserve the right to change or terminate this service (or any part thereof) at any time or from time to time. QuarkIP shall not be liable for any modifications to this service, price changes, suspensions or terminations for you or any third party.

4.Money Back Guarantee Policy

QuarkIP offers a pre-recharge function, and any paid services do not offer refunds. Please note that all payments are final.

5.Termination by agreement

This agreement will come into effect as of the date you accept these terms of use, and it will be valid for an indefinite period until either party terminates it. QuarkIP has the right to suspend or terminate your account or service at any time for any reason, which may result in your account being deactivated or deleted, or your access to the account being restricted, as well as all contents in the account being deleted or cleared. QuarkIP will not be liable for any compensation. QuarkIP reserves the right to refuse to provide services to anyone at any time for any reason.

Please note that after terminating your account, access to certain parts of our website or services may be immediately restricted. We have the right to terminate this agreement with you in the following circumstances:

• 1.You have violated any applicable laws while using our website or services;
• 2.You have violated this agreement or the terms of the website or service;
• 3.We believe that any of your actions have legally harmed our business interests.

6. intellectual property

All the content, design, text, charts, images, logos, buttons, icons, interfaces, audio and video, as well as all permutations and combinations of the above contents, on the QuarkIP website or products are the exclusive property of QuarkIP or its corresponding content providers and are protected by applicable copyright laws. This software is not a fault-tolerant software, nor is it designed for or intended for any hazardous environment where safety performance or operation needs to be guaranteed. QuarkIP does not guarantee that the websites or products containing services will be error-free or uninterrupted, nor does it promise that the website or service or server will not be affected by any harmful components. QuarkIP makes no statement or guarantee that the provided services are accurate, complete or useful. QuarkIP does not guarantee that you can legally use the website or service in any specific jurisdiction, and we specifically disclaim any such guarantees.

We will not intervene in disputes between users or between users and any third party regarding the use of the service. When you use the service, you agree that QuarkIP will be immune from any claims and demands (whether known or unknown, suspected or unexpected, public or not) related to such disputes and the service. You will bear the consequences resulting from the use of the QuarkIP website or service by yourself. You are fully responsible for any damage or loss caused to any party due to your actions.
